These Terms of Use ("Terms") govern your access to and use of www.raisefree.com and related pages, subdomains, widgets, APIs, and mobile experiences (collectively, the "Platform"). The Platform is owned and operated by Raisefree PBC ("Raisefree," "we," "us," or "our"). By accessing or using the Platform, creating an account, creating a campaign, or making a contribution, you agree to these Terms and our Privacy Policy.

1) WHAT RAISEFREE IS (AND IS NOT)

Raisefree is a software-as-a-service technology platform that enables users to publish fundraising campaigns and enables others to support those campaigns.

Raisefree is not a bank, payment processor, money services business, broker, financial institution, or charitable institution. Raisefree does not provide legal, tax, or financial advice.

Raisefree does not endorse any campaign and does not guarantee any fundraising outcome.

2) KEY DEFINITIONS

"Fundraiser": a user who creates or operates a campaign.

"Contributor": a user who makes a contribution to a campaign.

"Campaign": a fundraising page or fundraising initiative on the Platform.

"Contribution": a payment made through the Platform toward a campaign.

"Payment Partner": third-party payment gateways/processors/settlement providers that process and settle transactions.

"Partner Entity": a third-party organization Raisefree may collaborate with in certain countries to facilitate payment enablement, compliance workflows, or designated charitable/tax-receipting programs.

3) ELIGIBILITY, ACCOUNTS, AND VERIFICATION

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. You are responsible for your account credentials and all activity under your account.

Where required by law, Payment Partner rules, or risk controls, Raisefree and/or our Payment Partners/Partner Entities may perform identity verification and compliance checks (including KYC/AML, sanctions screening, and fraud screening). You agree to provide accurate information and to keep it up to date. We may suspend or terminate accounts or campaigns to comply with law or Payment Partner requirements or to prevent fraud/abuse.

4) FUNDRAISER RESPONSIBILITIES

Fundraisers are solely responsible for:

(a) the accuracy of campaign content and claims,
(b) complying with all laws applicable to fundraising/solicitation and receiving funds,
(c) using funds as described,
(d) delivering any promised perks/benefits, and
(e) maintaining required records and providing updates to contributors.

Raisefree does not verify every campaign and is not responsible for misuse of funds by fundraisers or beneficiaries.

5) CONTRIBUTOR RESPONSIBILITIES; NO GUARANTEE; REFUNDS

All contributions are made at the contributor's discretion and risk. Raisefree does not guarantee campaign outcomes or that funds will be used for any particular purpose.

Unless required by law or Payment Partner policy, contributions are generally final. Refunds, reversals, and chargebacks are governed by: (a) the applicable Payment Partner's terms and rules, (b) card network rules, and (c) applicable law.

6) PAYMENTS, PROCESSING, AND SETTLEMENT

Contributions are processed through Payment Partners, which operate under their own terms, privacy policies, settlement cycles, and risk controls. Raisefree is not liable for Payment Partner downtime, transaction failures, settlement delays, or chargeback outcomes.

Depending on the country and campaign configuration, payment processing may occur either: (a) Directly (beneficiary onboarded with a Payment Partner), or (b) Through Partner-Facilitated frameworks (Raisefree may collaborate with a Partner Entity to support payment enablement and/or compliance workflows).

Raisefree does not independently hold, pool, escrow, or custody contributed funds. Settlement timing, holds/reserves, refunds, reversals, and chargebacks are governed by Payment Partner terms, network rules, and where applicable Partner Entity frameworks.

India Notice (Social-Cause Campaigns)

If you are a user or Fundraiser based in India, you contract with Raisefree PBC (USA) for access to and use of the Platform. For India-based social-cause fundraising campaigns, payment enablement and related compliance workflows may be facilitated in collaboration with Crowdera Foundation (India) and authorized Payment Partners, subject to applicable law and Payment Partner terms.

7) TAX TREATMENT AND RECEIPTS (DEFAULT NOT TAX-EXEMPT)

Contributions made through the Platform are not tax-exempt by default. Tax benefits, if any, apply only where a campaign is explicitly designated on the Platform as eligible under a qualified program and a qualified nonprofit receipting entity issues the receipt. Raisefree is not responsible for the issuance, content, or validity of any tax receipt.

8) PROHIBITED USES

You may not use the Platform for unlawful, deceptive, harmful, or abusive conduct, including fraud, misrepresentation, fundraising for sanctioned persons/regions (including OFAC-restricted), prohibited goods/services, hate/violence, or any activity violating law or Payment Partner rules. Raisefree may remove campaigns, suspend accounts, pause transactions, or apply holds as required by law, Payment Partner rules, or to prevent harm/fraud.

9) CONTENT LICENSE

You retain ownership of your content, but you grant Raisefree a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, distribute, and use it as necessary to operate, secure, promote, and improve the Platform.

10) DISCLAIMERS; LIMITATION OF LIABILITY

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAISEFREE DISCLAIMS ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAISEFREE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. RAISEFREE'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT OF PLATFORM FEES YOU PAID TO RAISEFREE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11) INDEMNIFICATION

You agree to indemnify and hold harmless Raisefree, its officers, directors, employees, agents, affiliates, Payment Partners, and Partner Entities from claims, liabilities, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your campaign, your content, your violation of these Terms, or disputes with other users.

12) GOVERNING LAW; ARBITRATION; CLASS ACTION WAIVER

These Terms are governed by the laws of the State of Delaware, USA. Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by JAMS, seated in Wilmington, Delaware (USA), in English.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND RAISEFREE AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

Mandatory local rights. Nothing in these Terms is intended to exclude, limit, or waive rights that cannot be excluded under mandatory laws in your jurisdiction.

We may update these Terms from time to time by posting an updated version on the Platform with a new "Last Updated" date.
